| 2. |
Any person/company desirous of becoming a Business Associate is required to pay Rs. 10,000 for account set-up charges and up to Rupees One Crore depending upon the Category and Slab of interest. |

Slab1 Business Associate account set-up charge is Rs. 10,000/- only (One Time) and it’s not refundable but Business Associate will get 6 (Six) Wept or Opet Tools absolutely free worth Rs. 12,500/- for one year, which can be set-up within one year. And is also eligible for Slab1 facilities. |

Every Business Associate have option of bulk buying of any product or services instead of depositing advance money and get benefit of special facilities. Bulk buying of any products/ services are neither refundable not changeable. |

In order to directly qualify for a higher Slab of Business Associate, the difference in amount pertaining to which ever slab has to be paid in advance at the time of signing up. But, if he wants to change his Category, he must buy in bulk of minimum amount of that category. |

After the Bulk Buying of Rs. 1,00,000/- (Selling Value Rs. 1,42, 858/-) or total receipts of the same amount, the Business Associate will be eligible for Slab 4 facilities and can appoint Sub- Business Associate on mini. payment of Rs. 10,000/- for each Sub- Business Associate as account set-up charges. |

After the Bulk Buying of minimum amount of any C or B or A category or total receipts of the same amount, the Business Associate will be eligible to work from exclusive area. Business of all lower slabs’ Business Associate’s from that area will be controlled by him. |

Every Business Associate gets “Web Management Associate Tool” to Manage his own Clients and Web Identity, Web Hosting, Web Building, Web Promotion and other products/services control tools, if he will interested in others products/services. |

| 9. |
It is essential for a Business Associate that, he must create his own website or use one Opet tool within one month from the date of his appointment. This website/ Opet will be helpful in improving his business as well as used as a demo when required. |

| 10. |
Business Associate will get discounted rates as per Slab Table for all products/Services of Healweal Network Limited. All taxes and duties as applicable would be extra. |

Business Associate will not get any discount as per Slab Table for Domain Registration, Renewal, Transfer and Allied Services because these services are proving by Third Party (International Domain Registrar). But they have option to start these services independently after paying extra Rs. 10, 000/- only for “Domain Registration Services Control Panel” set-up and guidance charges (one time) with some advance money. After the advance money is utilised, they can pay additional money in advance for his domain services account to continue his business. |

A Business Associate also deposits advance money of any amount (in multiples of Rs. 1,000/-) in his Business Associate account. A Business Associate who deposits Rs. 10,000/- as advance money, can purchase any products/Services to the bill amount of Rs. 10,000/-. After the advance money is utilised a Business Associate can pay additional money in advance to continue his business. |

The benefits will also increase slab wise i.e. in case a person who will start business with a low investment of Rs. 10,000/- will have chance to gradually increases towards higher slabs by doing more and more business. |

| 14. |
All Sub-Business Associate shall do business as independent Business Associate and follow the terms and conditions of the company applicable to Business Associates. The new business and renewals both of sub- Business Associate shall be counted independently besides figuring in the parent Business Associate. |

| 15. |
Renewal of clients account will be done by the same Business Associate /Sub- Business Associate. |
|
| 16. |
If any Business Associate /Sub-Business Associate stops working and sends a notice to the company for refund of his unused advance money, then business of that Business Associate /Sub- Business Associate shall be taken over by the parent Business Associate. |

| 17. |
If a Business Associate desires to forego the association with the Company, the balance unused advance money would be paid back to the Business Associate /Sub- Business Associate directly after one month from the date of receipt of notice. However, the amount paid by his Sub-Business Associate’s will not be paid to him unless claimed by the Sub- Business Associate on their own if they so desire. |

The Company shall provide business support related to making ones own business strategy, sales/technical staff recruitment and training, sales support data and promotional activities depending on your Business Scale category. |

| 19. |
A Business Associate besides the aforesaid Terms and Conditions is also governed by the independent terms and conditions related to products and services (like web identity- domain name, web hosting, web designing, web promotion, etc.) being offered and the prevalent law in this regard put forth by the Government of India. |

| 20. |
All disputes and/or claims arising out of differences between Business Associate and Sub-Business Associate shall be settled by the Company and all Business Associate’s/ Sub-Business Associate’s are bound to follow the decision of the Company. In case it is between the Business Associate and the Company, it shall be settled by arbitration in accordance with the provisions of the “Indian Arbitration Act”. |
